Welcome to WaliGPT. By accessing or using our platform, services, or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Service Description

WaliGPT provides a platform that enables users to create, train, and deploy AI-powered conversational agents ("Agents"). These Agents can interact with end users on your behalf for purposes including but not limited to education, sales, customer support, entertainment, and brand engagement.

2. Acceptance and Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials. You are solely responsible for all activity under your account.

4. Content Ownership and Licenses

Your Content: You retain ownership of any content, data, or materials you upload to create or train your Agents ("User Content"). By uploading User Content, you grant WaliGPT a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service.

Agent Output: Content generated by your Agents belongs to you, subject to these Terms. However, you acknowledge that AI-generated content may be similar to content generated by other users or third parties.

Our Content: The Service, including all software, algorithms, text, graphics, logos, and other materials (excluding User Content), is owned by WaliGPT and protected by intellectual property laws.

5. Acceptable Use

You agree NOT to use the Service to:

• Create Agents that generate illegal, harmful, defamatory, obscene, harassing, or abusive content
• Impersonate any person or entity without authorization
• Violate any intellectual property rights, including copyrights, trademarks, or patents
• Distribute malware, spam, or engage in phishing
• Scrape, data mine, or attempt to reverse engineer the Service
• Create Agents that provide medical, legal, or financial advice without appropriate disclaimers
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Create Agents that discriminate based on race, religion, gender, sexual orientation, or other protected characteristics
• Circumvent any usage limits, security measures, or access controls

6. User Responsibilities

You are solely responsible for:

• All content generated by your Agents and how that content is used
• Ensuring your Agents comply with all applicable laws and regulations
• Any representations, warranties, or claims made by your Agents
• Monitoring your Agents and taking appropriate action if they malfunction or generate inappropriate content
• Providing appropriate disclaimers to end users regarding AI-generated content
• Obtaining necessary permissions and licenses for any third-party content you use to train your Agents

7. Disclaimers

AI Limitations: WaliGPT uses artificial intelligence and machine learning technologies. AI-generated content may be inaccurate, incomplete, biased, or inappropriate. WaliGPT makes no warranties regarding the accuracy, reliability, or suitability of any Agent output.

No Professional Advice: The Service is not intended to provide and does not constitute medical, legal, financial, or other professional advice. Users must not rely on Agent output as a substitute for professional consultation.

As-Is Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALIGPT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any content generated by Agents, including inaccurate, offensive, or harmful content
• Unauthorized access to or alteration of your data
• Any conduct or content of third parties using the Service
• Any claim arising from interactions between your Agents and end users

IN NO EVENT SHALL WALIGPT'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO WALIGPT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless WaliGPT and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your User Content or Agents
• Your violation of these Terms
• Your violation of any rights of third parties
• Any disputes between you and end users interacting with your Agents

10. Content Moderation and Termination

WaliGPT reserves the right, but has no obligation, to monitor User Content and Agent activity. We may remove or disable any content or Agent that violates these Terms or is otherwise objectionable, at our sole discretion.

We may suspend or terminate your account immediately, without notice, if you violate these Terms or engage in conduct that we deem harmful to the Service, other users, or third parties. You may terminate your account at any time by contacting us.

11. Data Usage and Improvement

You acknowledge and agree that WaliGPT may use aggregated, anonymized data derived from your use of the Service to improve, develop, and train our AI models and services. This usage will not identify you personally or reveal your proprietary information.

12. Third-Party Services

The Service may integrate with or link to third-party services, websites, or applications. WaliGPT is not responsible for and does not endorse any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

13. Modifications to the Service and Terms

WaliGPT reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also update these Terms from time to time. Your continued use of the Service after changes constitutes acceptance of the modified Terms. We will provide notice of material changes.

14. Intellectual Property Claims

• Description of the copyrighted work or intellectual property
• Location of the allegedly infringing material
• Your contact information
• A statement of good faith belief
• A statement under penalty of perjury that the information is accurate

15. Export Controls

You agree to comply with all applicable export and import control laws and regulations in your use of the Service. You represent that you are not located in a country subject to comprehensive sanctions and are not on any government restricted parties list.

16. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the award may be entered in any court of competent jurisdiction.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and WaliGPT regarding the Service.
